Day 141 - 23 Jun 95 - Page 17

       A. I have not got the foggiest idea why it is not in
here. I would assume it is normally available as part of
our process that I spoke about. There is an enormous
amount of that happening everywhere in our system.
       I cannot answer that question.

  Q. So do the franchisees follow what is set out in this
       handbook or not?
       A. This is a model handbook. This is not a required
thing. We provide this to owner/operators, saying: "We
think a handbook is a good idea. Here is a model. We have
additional subject matter of things that you can cover in
addition to what is in here, or you can delete what is in
here." It serves as a model, as a starting point for an
owner/operator to customise their handbook the way they see
       fit.

  Q. But, presumably, it is a fairly standard handbook because,
otherwise, all the page numbering would be out for most of
the people, for most of the franchisees?
       A. All the numbering would be out?

  Q. The page numbers.
       A. I do not really follow what you are saying.

  Q. If people only put in certain pages ---
       A. Yes.

  Q. -- the page numbering would be out for the crew, would it
       not?
       A. Oh, but they can delete that. They can change page
numbers. They can put different diagrams on here. They
can customise it to make it look like their restaurant.
They are fully capable of utilising the materials and
customising it any way they would like to.

  Q. But, by and large, this is what you recommend to
franchisees that they give to -----
       A. It serves as a model of the kind of practices we would
like to see, but we also give them other things, ideas that
       are optional, as well.  So there is more than just in here;
there is a variety of things for them to choose from as to
what they would like to do in their business.

MR. JUSTICE BELL: Can you just draw my attention, so I can make
a note of it, to where rap sessions or crew meetings appear
       in tab 6?

MR. RAMPTON: My Lord, yes. I think pages 6 and 7 -- I do not
know what the reason is -- are missing from this copy of
       the Licensees' Handbook.

MR. JUSTICE BELL: Yes, it is.

MR. RAMPTON: It goes from 5 to 8.

MR. JUSTICE BELL: It is page 6, in fact.

MR. RAMPTON: Yes. For some reason -- I do not know what the
reason is -- this copy of the Crew Handbook for Licensees
