Day 139 - 21 Jun 95 - Page 22

  Q. The criticisms about charitable work, for example, that
would be around you using that as a PR move; would that be
       fair to say?
       A. Some of it was they thought we should do more; some of
it was they did not like that we were doing. I mean, they
ran the gamut of what they did not like.

  Q. Is it fair to say that that was around the time of the
union elections, around the McHappy Day, for example?
       A. I do not understand your question.

  Q. The criticisms about the charitable work that they made?
       A. As soon as they came into the open, came out into the
open, that began the series of criticisms that we have
talked about, and they continued throughout the period.

  Q. Your interest -- you are not concerned with charitable work
with the Company, are you; that is not your department?
       A. I participate in charitable things, but I am not
       responsible.

  Q. It is not your department?
       A. That is correct.

  Q. So your interest was the dispute around the labour, the
       unions?
       A. That is correct. The Human Resources part would be
       what I would focus on.

  Q. So you saw what was going on as a problem which you needed
to get involved with to help sort out?
       A. That is correct.

MR. MORRIS: Just a last question on this matter: in your
statement, you talked about the union filing numerous
       charges for unfair labour practices?
       A. That is correct.

  Q. You said: "Some of these charges were resolved informally
when Ralph Kelly agreed to post notices in the restaurants
governing the correct procedure of the election."
       A. Correct.

  Q. What were the other charges that were resolved informally,
       apart from that one?
       A. Help me understand the question?

  Q. You said "some of the charges"?
       A. Yes. Others were just outright dismissed. The
       NLRB -----

  Q. No. Which were the other charges that were resolved
informally, that you claimed were resolved informally?
       A. Say that again.

  Q. "During the election procedure, the union mounted a large
publicity campaign and also filed numerous charges for
unfair labour practices. Some of these charges were
resolved informally when Ralph Kelly agreed to post notices
in the restaurants governing the correct procedure for the
